Finance H2air's development
A recognised player in renewable energies
Founded in Amiens in 2008 by a passionate team, H2air is an independent renewable electricity producer. It is a recognised player in the renewable energy sector, carrying out large-scale projects with high environmental and social added value. H2air develops, builds and operates wind and solar farms, using a range of technologies (floating, installed, farm-based), in France and abroad.
H2air SAS has 3 medium-term objectives:
- The commissioning of 1,000 MW of wind projects and 300 MW of solar projects by 2027
- Development of the pipeline to reach 3 GW commissioned by 2030
- Strengthening its power generation business by controlling its operating assets, with the aim of owning at least 51%. In addition to revenues from the sale of electricity production and other services, the Group expects to generate substantial cash flow to meet its investment needs through the sale of minority stakes in its projects.
To support this strategy, H2air is appealing for equity financing to continue the group's development.
The funds raised will be used to cover part of the development and construction costs of the projects, right up to their partial sale, thereby freeing up cash for new investments and accelerating the growth of the project portfolio.
The development and construction of the projects must create sufficient added value to enable H2air to repay the bond debt.

Why invest?
Investing part of your savings in the energy transition
Through this equity crowdfunding campaign, H2air wants to involve citizens in the energy transition, by offering them the chance to invest part of their savings directly in the development and construction of the many projects it is supporting in France and around the world.
By allowing everyone to participate in this project, H2air aims to redistribute part of the wealth produced by future photovoltaic or wind power installations, so that everyone can benefit from the economic spin-offs generated by the exploitation of shared natural resources.
It's an opportunity for every citizen to find out more and get involved at their own level in the development of renewable energies, making a direct and collective contribution to the success of the global energy transition.
Investment terms and conditions
Citizen financing, a new solution to encourage the development of projects
To be able to carry out the development of its large number of projects, H2air has to resort to financing solutions such as citizen participation. The aim of this fundraising campaign is therefore to enable H2air to finance the development and construction costs of the many projects it is carrying out in France.
H2air therefore wishes to issue simple bonds to the public for a total amount of €30 million, of which €15 million will be offered for investment on Enerfip in several tranches.
The aim is to raise an initial tranche of €2 million.
Risks & Collateral
Investing in a group that develops and owns portfolios comprising numerous projects of different types, energies and maturities helps to diversify risk.
Enerfip has also put in place a security for investors: the pledge of a portfolio of solar and wind projects under development. The cumulative capacity of this portfolio is 26.2 MWp of photovoltaic plants and 100.5 MW of wind power projects. The value of the portfolio once the projects are ready for construction is estimated at €30m.
In addition to this pledge of assets, H2air will guarantee H2air PX by means of a First Demand Guarantee.

OPERATIONAL RISKS
Risks relating to the development and construction of projects at subsidiary level (delays, failure to obtain permits, construction defects, etc.), which may affect H2air's consolidated balance sheet and therefore its financing capacity
➔ Strong portfolio diversification (partners, technology, etc.) which dilutes the risk at H2air level
➔ Extensive experience of the team and managers in developing this type of asset (375 MW already installed or under construction under H2air)
MARKET RISKS
Risk of fluctuations in the value of renewable energy generation assets

Risks of not obtaining project financing, leading to additional liquidity requirements

Un acteur reconnu des énergies renouvelables
Fondé à Amiens en 2008 par une équipe passionnée, H2air est un producteur d’électricité renouvelable indépendant. L'équipe développe, construit et exploite des parcs éoliens et solaires, en France et à l’international.
Il s’agit d’un acteur reconnu dans la filière des énergies renouvelables, qui porte des projets de grande ampleur à forte valeur ajoutée environnementale et sociétale. H2air développe, construit et exploite des parcs éoliens et solaires, sous différentes technologies (centrale flottante, posée, en coactivité agricole), en France et à l’international.
Le groupe s'appuie sur des agences à Amiens, Aix-en-Provence, Bordeaux, La Rochelle, Nancy, Tours, Toulouse, ainsi que des bureaux à Berlin et Beyrouth.
Fort de 375 MW de projets en exploitation ou en construction, H2air dispose à ce jour d'un portefeuille de projets en développement de 3GW, portés dès les premières phases par son équipe. Dans une logique de diversification de ses activités, le groupe prévoit un déploiement en Europe du Sud à horizon 2027.
Depuis sa création, H2air développe, construit et exploite des centrales éoliennes et solaires. Afin d’amorcer l’activité du groupe, certains parcs étaient cédés partiellement et en totalité. Depuis 2020, H2air se positionne comme producteur d'électricité renouvelable avec la stratégie de contrôler ses centrales en exploitation.
En 2021, le groupe a généré un chiffre d’affaires consolidé de 20,6 millions d’euros, se répartissant entre 7,3 M€ de vente d’électricité, 12,3 M€ pour la société de construction et quelques services annexes.
Son objectif ? 1,3 Gigawatt installé d’ici 2027 !
Une équipe passionnée et engagée
Face à l'urgence écologique, H2air produit de l'électricité renouvelable dans le respect de l'Humain et de l'environnement, conformément aux convictions de l'équipe.
Porteur de projets de territoire, H2air privilégie l’expertise et les savoir-faire locaux dans le développement de projet, la construction et l'exploitation, gérée par sa filiale H2air GT. Au-delà de sa participation à l'économie locale, H2air s'inscrit pleinement dans les Objectif de Développement Durable de l'ONU quant à son écoresponsabilité et son engagement sociétal.
H2air bénéficie d’une forte croissance organique avec plus de 86% d'autorisations obtenues sur les projets instruits par l'Etat. Le groupe s’appuie désormais sur une centaine de collaborateurs, dotés d’expertises variées telles que la biodiversité, la concertation locale, l’investissement citoyen, le raccordement, le financement de projet…
H2air est un acteur industriel audacieux qui a su, dès 2013, construire avec son équipe ses propres postes de raccordement afin d’accélérer concrètement la transition énergétique sur les territoires. Ses confrères ont également la possibilité de se raccorder sur le réseau via les postes construits sous la maîtrise d’œuvre du groupe.
L’équipe de Nancy construit actuellement le parc éolien citoyen des Lunaires, en partenariat avec la société d’économie mixte des Vosges TerrEnR.
Implantée dans les régions, cette PME française s’exporte désormais à l’international pour y développer l’électricité éolienne et solaire, énergies de la paix, conformément aux convictions humanistes de l’équipe.
L'activité du Groupe
Un acteur intégré
Le groupe H2air intervient sur l’ensemble de la chaîne de valeur des projets d’énergies renouvelables éoliens et solaires.
H2air intervient à chaque étape : du développement à la gestion opérationnelle, en passant par la construction. La forte synergie entre leurs différentes expertises et filiales assure une gestion optimale du projet.
• Développement de projets éoliens et solaires : depuis sa création, H2air peut compter sur ses experts internes pour sécuriser tous les éléments clés du projet ainsi que sur sa parfaite compréhension du contexte local.
• Construction (H2air PX) : H2air PX développe des solutions clés en main de centrales solaires et éoliennes pour le groupe et des tiers, incluant la préparation du chantier jusqu'à l'installation des éoliennes. Leur filiale maîtrise la construction et la mise en service des postes de transformation et de raccordement sur le réseau très haute tension, activité clé pour accélérer la transition énergétique.
• Gestion opérationnelle pour compte de tiers et compte propre (H2air GT) : avec ses experts financiers et techniques, H2air GT gère les opérations des centrales de production et optimise leur performance économique pour le groupe lui-même et pour compte de tiers. L’innovation et la diligence au plus près du client sont la clé de son succès.
